    Clients agree to:

    • Provide accurate project requirements.
    • Provide timely approvals, feedback, and information.
    • Designate authorized project representatives.
    • Ensure that materials supplied to Ezulix do not infringe third-party rights.
    • Obtain necessary licenses, permissions, and regulatory approvals where required.

    Delays caused by the client may impact delivery schedules and project timelines.

  6. Project Timelines and Delivery

    Any timeline, milestone, estimate, roadmap, or projected completion date is provided in good faith based on information available at the time.

    Delivery schedules may be affected by:

    • Requirement changes
    • Scope expansion
    • Third-party dependencies
    • Delayed client feedback
    • Infrastructure limitations
    • Regulatory approvals
    • Force majeure events

    Ezulix shall not be liable for delays arising from circumstances beyond its reasonable control.

  7. Change Requests

    Any modification to approved project requirements may constitute a Change Request.

    Change Requests may impact:

    • Cost
    • Timeline
    • Resources
    • Deliverables
  8. Fees and Payment Terms

    Clients agree to pay all fees specified in applicable agreements, quotations, proposals, or invoices.

    Unless otherwise agreed:

    • Payments are non-refundable.
    • Invoices must be paid within the specified due date.
    • Delayed payments may result in suspension of services.
    • Ezulix reserves the right to charge applicable late-payment fees where permitted by law.

    All taxes, duties, levies, withholding taxes, and governmental charges are the responsibility of the client unless otherwise stated.

  9. Intellectual Property Rights

    9.1 Ezulix Intellectual Property

    Ezulix retains ownership of:

    • Proprietary methodologies
    • Frameworks
    • Libraries
    • Tools
    • Templates
    • Automation assets
    • Internal development processes
    • Pre-existing intellectual property

    Nothing in these Terms transfers ownership of Ezulix's proprietary technology.

    9.2 Client Intellectual Property

    Clients retain ownership of:

    • Trademarks
    • Logos
    • Brand assets
    • Business data
    • Client-provided content
    • Existing proprietary systems

    Clients grant Ezulix a limited license to use such materials solely for service delivery purposes.

    9.3 Project Deliverables

    Ownership of final project deliverables shall transfer only upon:

    • Full payment of all outstanding fees; and
    • Compliance with applicable contractual obligations.

    Ownership rights may be further defined in the applicable Service Agreement or Statement of Work.

  10. Third-Party Services

    Projects may involve third-party technologies, including:

    • Cloud platforms
    • APIs
    • Payment gateways
    • Hosting providers
    • Analytics tools
    • AI service providers
    • Software libraries

    Ezulix is not responsible for:

    • Third-party service interruptions
    • Pricing changes
    • Licensing changes
    • Platform restrictions
    • Security incidents originating from third-party providers

    Use of such services remains subject to their respective terms and policies.

  11. Confidentiality

    Both parties agree to maintain confidentiality regarding non-public business, technical, financial, and operational information exchanged during the course of engagement.

    Confidential information shall not be disclosed except:

    • With prior written consent;
    • To authorized personnel with a need to know;
    • Where required by law or regulatory obligation.

    Confidentiality obligations survive termination of the business relationship.

  12. Data Protection and Privacy

    Use of personal information is governed by our Privacy Policy.

  13. Acceptable Use Of Delivered Software

    • Intellectual property infringement
    • Unauthorized surveillance
    • Distribution of malware

  14. Warranties Disclaimer

    Except as expressly stated in a written agreement:

    • Services are provided on an "AS IS" and "AS AVAILABLE" basis.
    • Ezulix does not guarantee uninterrupted operation.
    • Ezulix does not warrant that services will be error-free.
    • Ezulix does not guarantee specific business outcomes, revenue growth, search rankings, lead generation results, investment returns, or commercial success.

    To the fullest extent permitted by law, all implied warranties are disclaimed.

  15. Limitation of Liability

    To the maximum extent permitted by law, Ezulix shall not be liable for:

    • Indirect damages
    • Consequential damages
    • Special damages
    • Punitive damages
    • Lost profits
    • Lost revenue
    • Loss of business opportunities
    • Loss of goodwill
    • Data loss

    In no event shall Ezulix's aggregate liability exceed the total fees actually paid by the client for the specific services giving rise to the claim during the preceding twelve (12) months.

  16. Indemnification

    You agree to indemnify and hold harmless Ezulix, its directors, officers, employees, contractors, affiliates, and representatives from claims, damages, liabilities, losses, costs, and expenses arising from:

    • Violation of these Terms
    • Client-provided content
    • Intellectual property infringement caused by client materials
    • Misuse of delivered services
    • Violation of applicable laws
  17. Force Majeure [Events Beyond Reasonable Control]

    Ezulix shall not be liable for failure or delay caused by circumstances beyond reasonable control, including:

    • Natural disasters
    • War
    • Civil unrest
    • Cyberattacks
    • Internet outages
    • Government restrictions
    • Labor disputes
    • Power failures
    • Pandemics
  18. Termination

    Ezulix may suspend or terminate services if:

    • These Terms are violated.
    • Payments remain overdue.
    • Unlawful activities are identified.
    • Continued service poses legal, security, or operational risks.

    Termination shall not affect accrued payment obligations or rights existing prior to termination.

  19. International Compliance

    Ezulix serves clients globally and strives to comply with applicable international legal frameworks, including:

    • GDPR
    • UK GDPR
    • CCPA
    • CPRA
    • UAE PDPL
    • India's DPDP Act, 2023

    Clients remain responsible for ensuring their own regulatory compliance obligations associated with the use of delivered solutions.

  20. Governing Law and Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of India.

    Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India, unless otherwise agreed in writing between the parties.

  21. Changes to These Terms

    Ezulix reserves the right to update, modify, or replace these Terms at any time.

    Updated versions will be posted on our website with a revised "Last Updated" date.

    Continued use of the website or services following publication of revised Terms constitutes acceptance of the updated Terms.
